TERMS & CONDITIONS
BACKGROUND:

“the Company”, ”us”, “we” or “our” is Majestical Ltd, “the Client”, “you” or “your” means the party, or any person acting on their behalf with whom the Company contracts. Please read this document carefully before you agree to undertake any project. By working with Majestical you are agreeing to these terms and conditions.
All charges and prices for services carried out by the Company are subject to Value Added Tax (”VAT”).
All estimated prices quoted, whether written or verbal, are for the listed and mentioned services only. Any additional services required to complete a project will be quoted for in advance and charged accordingly.
A signed purchase order (preferably with a PO number and project value) will need to be raised for the full quoted and agreed amount before work can commence on any job. A separate PO may need to be raised for any extras such as additional filming, edits etc.
All clients are required to pay a non refundable 50% deposit on every project up front before any agreed work will commence.
All work is billed monthly or on completion of project stage, or the relevant hourly charge as previously agreed.
All estimates are based on expected or agreed production time and include two rounds of amends where alterations are called for by the Client or if additional changes are required by the Client.
Where there is a change of brief, the Company will inform the client in advance of any extra costs likely to be incurred.
All projects are planned to an agreed schedule. Non-adherence to this schedule by the Client may result in compromising final delivery deadlines. If this is likely to occur, the company will advise the Client as soon as this becomes evident and suggest an alternative solution where feasible. This may incur additional costs.
Whilst every effort will be made to achieve agreed delivery, the Company cannot accept liability or be held financially responsible for any targets or deadlines being missed for delivery of any work which is outside of the company’s control.
For all new Clients payable for the full or part amount + VAT may be requested in advance of commencement, as agreed between parties. For any subsequent work the Company must receive full payment not later than 15 days after the date of the invoice.
The company reserves the right to make a surcharge of 2% per month interest to accounts that are not paid by the invoice due date. Client credit screening may affect subsequent credit agreement.
Once a Client has agreed to the Company’s current terms and conditions on a credit account with the Company, Majestical Ltd can invoice in project stages e.g. Stage 1 pre-production, Stage 2 production, Stage 3 post-production etc, upon stage completion unless where exceptional terms have been agreed with the Client.
Majestical Ltd reserves the right to invoice for any disbursements for part works carried out including third party costs incurred on a project should the project be unable to be completed for any reason or has been delayed/put on hold by the Client for a period of 4 weeks or more then invoicing will occur.
When production dates are pencilled the client has first refusal should the Company receive an additional booking enquiry. In this instance the booking will only remain with the client upon confirmation that production will proceed. After production has been confirmed, the client will incur full costs should they then decide to cancel the booking.
The Company owns the intellectual property on all “content” (all works and materials including without limitation text, graphics, images, audio material, video material, audio-visual material, scripts and files) used and created as part of this project. Project files and raw footage are non-transferable.
The Client grants the Company permission to use, reproduce, adapt and publish any content acquired as part of this project worldwide, without exclusion.
It’s not cool to ask us to come up with ideas, send you suggestions and/or basically give you the outline for a new video project to then take all that work we’ve done and give the paid production work to someone else. We’re a small business and it actually hurts the people who’ve put their love, care and attention into creating those ideas for you. Plus nobody likes a rotten old concept robber. So we politely insist that the ideas and suggestions that we supply you with result in paid production work for Majestical Ltd. Thanks for being awesome and understanding!
